1.1 Application
These Terms and Conditions (“Terms”) apply to all quotations, offers, and sales of lace fabrics, embroidery products, and related services (“Products”) by Marry Lace Co., Ltd. (“Seller”) to any buyer (“Buyer”).
1.2 Acceptance
By placing an order with Marry Lace (via email, WhatsApp, or website inquiry), the Buyer agrees to be bound by these Terms. Any conflicting terms in the Buyer’s purchase order are rejected unless explicitly agreed to in writing by the Seller.
2. Orders & Minimum Order Quantity (MOQ)
2.1 Order Confirmation
Orders are only binding upon the Seller’s issuance of a Proforma Invoice (PI).
2.2 MOQ Policy
- Stock Items: Minimum 15-30 yards per color.
- Made-to-Order (Wholesale): Minimum 100-300 yards per color, depending on the specific pattern and base fabric.
- Custom Development (OEM/ODM): MOQs are negotiated case-by-case based on technical complexity (e.g., heavily beaded lace vs. simple machine embroidery).
2.3 Samples
Swatches (A4 size) or Hangers are available upon request. Sample fees and courier charges (DHL/FedEx/UPS) shall be borne by the Buyer unless otherwise agreed.
3. Pricing & Payment Terms
3.1 Currency & Pricing
All prices are quoted in US Dollars (USD) unless otherwise stated. Prices are subject to change based on raw material costs (e.g., fluctuations in yarn or bead prices) but will be fixed once a Proforma Invoice is issued.
3.2 Payment Methods
We accept T/T (Bank Wire Transfer), PayPal (for sample fees only), and L/C (Letter of Credit) for orders exceeding $50,000 USD.
3.3 Payment Schedule
- Sample Orders: 100% payment in advance.
- Bulk Production: 30% deposit upon order confirmation; 70% balance before shipment.
- Stock Items: 100% payment before shipment.
4. Production & Lead Times
4.1 Estimated Lead Times
- Lab Dips / Strike-offs: 3-7 days.
- Stock Orders: Shipped within 3-5 business days after payment.
- Bulk Production: 20-45 days after deposit and approval of pre-production samples, subject to factory capacity and seasonal demand.
4.2 Delays
Seller shall not be liable for delays caused by Force Majeure events (e.g., natural disasters, customs inspections, labor strikes, or material shortages beyond Seller’s control). Seller will promptly notify Buyer of any anticipated delays.
5. Shipping & Delivery
5.1 Incoterms
Unless otherwise agreed, all shipments are FOB (Free on Board) – Hunan/Guangzhou/Shanghai or EXW (Ex Works).
5.2 Shipping Methods
We ship via express courier (DHL/FedEx), air freight, or sea freight. Buyer is responsible for all shipping costs, import duties, taxes, and customs clearance fees in the destination country.
6. Quality Control & Inspection
6.1 Standards
Marry Lace adheres to the 4-Point System for fabric inspection. We guarantee that our goods meet international textile standards for color fastness, shrinkage, and durability.
6.2 Pre-Shipment Inspection
Buyer has the right to arrange a third-party inspection (e.g., SGS, Intertek) before shipment at Buyer’s expense.
7. Intellectual Property (Copyright Protection)
7.1 Seller’s IP
All original patterns marked as “Marry Lace Original” are the intellectual property of Marry Lace Co., Ltd. Unauthorized reproduction is prohibited.
7.2 Buyer’s Custom Designs (OEM)
For custom designs developed exclusively for the Buyer:
- Seller agrees NOT to display, sell, or market these designs to any third party.
- Seller will sign a separate Non-Disclosure Agreement (NDA) upon request.
8. Returns & Claims
8.1 Inspection Period
Buyer must inspect the goods within 7 days of receipt.
8.2 Valid Claims
Claims for quality defects (e.g., wrong color, holes, pattern errors) must be supported by photos/videos.
- Approved Claims: Seller will either replace the defective goods free of charge or refund the value of the defective portion.
- Exclusions: No returns are accepted for “change of mind” or after the fabric has been cut or processed by the Buyer.
- Color Tolerance: Slight color variations between the sample and bulk production (within industry standard tolerance) are not considered defects.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes shall be settled through friendly negotiation first; failing that, by arbitration in the jurisdiction of the Seller.
